The first step in any new business is to form a company. This can be done for one shareholder or a group of shareholders. PMR Law draft unanimous shareholders’ agreements for companies with more than one shareholder. The companies often need to obtain financing for business purposes. PMR Law acts for companies in obtaining corporate loans. When a company seeks to sell or buy an asset, then we guide our client on identifying and transferring intellectual property, the goodwill and the assets of the business. We look at sales and revenues in conjunction with financial advisors. Some sales have vendor financing. Others have bank financing. The vendors are asked to disclose financial information and other items. The vendor may have the goal of obtaining a lifetime capital gains exemption. The purchaser may need non-competition clauses restricting the seller. There are often tax issues and related party loans, and debt forgiveness issues.
